Terms of Service

PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Vidcom platform (video-comments.co.uk) or by recording and submitting a video review, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Vidcom Video Comments Limited, a company registered in England and Wales ("Vidcom", "we", "us", "our"), governing your use of the Vidcom platform, website, and services (collectively, the "Platform").

By using the Platform in any capacity — including browsing, recording a video, submitting a review, or registering an account — you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and any additional terms applicable to specific features.

These Terms apply to all users of the Platform, including consumers who record video reviews ("Reviewers") and businesses who subscribe to the Platform ("Business Subscribers").

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are 18 years of age or older. We reserve the right to terminate accounts of users who misrepresent their age.

Business Subscribers must be authorised representatives of the business entity they represent and have the authority to enter into these Terms on behalf of that entity.

4. Video Content — Ownership, Licence, and Rights

You keep your personal rights. By submitting a review you allow VidCom and the reviewed business to display, edit and share your video for marketing and review purposes. You are not selling your identity or giving up ownership of yourself — only granting permission to use the specific review video you submit.

Full legal terms: By recording and submitting any Video Content on the Vidcom Platform, you irrevocably grant Vidcom Video Comments Limited a perpetual, worldwide, royalty-free, sub-licensable, transferable licence to use, reproduce, store, distribute, display, publish, broadcast, adapt, modify, create derivative works from, and otherwise exploit your Video Content in any media or format now known or hereafter developed, for marketing, review, and platform purposes, without further payment.

In plain English: you can still post your own review video on your own channels. This clause means VidCom also has the right to use it — it does not mean you lose your own copy.

All Video Content, associated data, AI-generated analysis, transcripts, and metadata collected through the Vidcom Platform is and shall remain the exclusive property of Vidcom Video Comments Limited for platform and marketing purposes. You retain the right to use your own review video on your own channels.

4.3 Moral Rights

To the fullest extent permitted by applicable law, you waive any moral rights you may have in your Video Content, including the right to be identified as the author and the right to object to derogatory treatment.

6. AI Moderation and Content Analysis

All Video Content submitted to the Platform is automatically processed by artificial intelligence systems including:

By submitting Video Content you explicitly consent to this automated processing. AI analysis data is stored alongside your Video Content and may be shared with Business Subscribers as part of review management.

Vidcom reserves the right to auto-approve, auto-reject, or flag content based on AI analysis scores. Business Subscribers have final approval authority over content appearing on their brand pages.

7. Business Subscriber Terms

7.1 Subscription and Payment

Access to the Vidcom Business Dashboard is subject to payment of the applicable subscription fee. Subscriptions are billed monthly in advance. All fees are exclusive of VAT.

Payment is processed by Stripe. By subscribing you authorise Vidcom to charge your payment method on a recurring monthly basis until cancellation.

Subscription fees are non-refundable except where required by law. If you cancel your subscription, access continues until the end of the current billing period.

7.2 Business Use of Video Content

Business Subscribers are granted a non-exclusive licence to use Video Content approved on their brand page for their own marketing, social media, and promotional purposes, subject to these Terms and the ongoing payment of subscription fees. This licence terminates upon cancellation of the subscription.

7.3 Fair Use Policy

Business Subscribers must operate within the video review limits of their subscription tier. Excessive use beyond stated limits may result in additional charges or suspension of service.

8. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for an extended period.

9. Platform Availability and Modifications

Vidcom does not guarantee that the Platform will be available at all times. We may modify, suspend, or discontinue any aspect of the Platform at any time without notice. We shall not be liable for any unavailability of the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be communicated to registered users by email.

10. Intellectual Property

All intellectual property rights in the Vidcom Platform, including but not limited to software, design, trademarks, logos, and content created by Vidcom, are owned by Vidcom Video Comments Limited. Nothing in these Terms grants you any right to use Vidcom's intellectual property without prior written consent.

The VIDCOM name and logo are trademarks of Vidcom Video Comments Limited.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VIDCOM DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Vidcom does not warrant that reviews published on the Platform are accurate, complete, or reliable. Reviews represent the personal opinions of individual users and do not reflect the views of Vidcom.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIDCOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

Vidcom's total aggregate liability to any user shall not exceed the greater of (a) the amount paid by that user to Vidcom in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vidcom Video Comments Limited, its directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) Video Content you submit; (c) your breach of these Terms; or (d) your violation of any third party's rights.

14. Third-Party Services

The Platform integrates with third-party services including Cloudinary, Supabase, AssemblyAI, AWS, and Stripe. Your use of these services is subject to their respective terms and privacy policies. Vidcom is not responsible for the practices of third-party service providers.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
